Lawrence Lambert is an AV® Preeminent™ rated attorney who has been practicing in South Florida for over 25 years. Prior to launching his own firm in 2011, Mr. Lambert worked for both a large national law firm in its Miami office and for several Miami-based boutique firms. For the first 15 years of his practice, he focused on commercial litigation and appellate work in state and federal courts, domestic and international arbitration.

For the last 10 years, he has been assisting small and mid-sized businesses with their corporate governance, contracting, employment, and general legal needs. Mr. Lambert now exclusively provides these corporate transactional and outside general counsel services to existing businesses, start-ups and entrepreneurs. He uses his extensive experience litigating complex business disputes to assist clients with careful drafting and negotiation of their corporate governance and contractual agreements to avoid litigation.

Mr. Lambert has represented a number of large corporations, including a national hospital chain, a national retail home goods company, several large franchise operators, a national telecommunications company, banks, finance companies, and select individuals. After spending the first 15 years of my practice representing companies in complex business litigation disputes and the next 10 years representing businesses and individuals in both litigation and corporate transactional matters, it became clear to me that many, if not most, business litigation disputes arise from poor legal planning and poorly drafted business agreements. Unfortunately, just one litigation dispute can destroy a small or mid-sized company’s profitability and, in some cases, can force the company out of business altogether. Recognizing the ever-increasing cost of litigation (and arbitration), the Law Office of Lawrence B. Lambert now focuses solely on providing corporate transactional legal services with the goal of “litigation mitigation.”

While some disputes can’t be avoided, businesses can take precautionary legal measures to protect themselves. Choosing the right type of business entity, preparing a shareholder agreement, operating agreement or partnership agreement, and having certain employees sign employment contracts or noncompetition agreements are just a few of the legal considerations every business should address.
